1. Introduction
Welcome to Nortilus Analytics ("we," "our," or "us"). By accessing or using our website, services, applications, or products (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms are governed by Italian law and comply with applicable European Union regulations.
2. Disclaimer - Not Financial Advice
The information, analysis, research, and content provided through our Services are for informational and educational purposes only and should not be construed as financial, investment, or trading advice. Nothing contained in our Services constitutes a solicitation, recommendation, endorsement, or offer to buy or sell any securities or other financial instruments in any jurisdiction. We are not a registered investment advisor under Italian or EU law, and nothing we provide should be considered personalized investment advice. 3. Account Registration

4. Subscription Services
4.1. Subscription Tiers: We offer various subscription tiers with different features and limitations. The specific features included in your subscription will depend on the tier you select.
4.2. Billing: By subscribing to our paid Services, you agree to pay all fees associated with your subscription plan. We use Stripe as our payment processor, and all payment information is subject to Stripe's privacy policy and terms of service. Transaction processing compliance is required under Italian and EU payment regulations.
4.3. Cancellation and Termination: We may terminate your subscription and access to paid features immediately at our sole discretion, with or without notice, for any reason including but not limited to breach of these Terms, suspected fraudulent activity, or business operational reasons. No refunds will be provided except where explicitly required under Italian consumer protection laws.
4.4. 14-Day Withdrawal Right: As required under the Italian Consumer Code (Codice del Consumo), you have the right to withdraw from your subscription within 14 days of purchase without giving any reason. However, if you expressly request immediate access to our digital content and services upon purchase, you waive this withdrawal right upon first access to premium content. This waiver is legally binding under Italian law.
5. Data and Analytics Services
5.1. Market Data: Our Services provide market intelligence, financial modeling, and analytics for cyclical investments including shipping, offshore energy, and commodity sectors. All data is provided "as is" without warranty of any kind, as permitted under Italian law regarding information services.
5.2. Research Reports: We provide research reports, earnings analysis, and market outlooks. These materials are proprietary and confidential, and may not be redistributed without our explicit written consent. Your access to reports may be immediately revoked and damages pursued if you redistribute without consent. Any unauthorized disclosure constitutes a material breach of this agreement and may result in immediate termination of your access and legal action under Italian copyright law.
5.3. Data Accuracy: While we strive to provide accurate and up-to-date information, we explicitly disclaim all warranties regarding the accuracy, completeness, or timeliness of any data or analysis provided through our Services to the maximum extent permitted under Italian law.
6. Acceptable Use
You agree not to use our Services for any purpose that is unlawful under Italian or EU law or prohibited by these Terms. Violation of any of these restrictions will result in immediate termination of your access without refund. You may not:
- Use our Services in any manner that could damage, disable, overburden, or impair our servers or networks
- Attempt to gain unauthorized access to any part of the Services
- Use any robot, scraper, or other automated device to access the Services
- Use the Services for any commercial purpose unless explicitly permitted
- Redistribute, republish, or resell any proprietary research, data, or analytics without written permission
- Violate any applicable Italian or EU laws or regulations
7. Intellectual Property
The Services and all content, features, and functionality thereof are owned by us, our licensors, or other providers and are protected by Italian, EU, and international copyright, trademark, and other intellectual property laws. "Nortilus," "Nortilus Analytics," and related logos are trademarks of our company. Any unauthorized use of our trademarks or copyrighted materials will result in immediate termination and legal action under Italian intellectual property law, which permits significant damages for trademark and copyright infringement.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY ITALIAN LAW, WE DISCLAIM ALL LIABILITY FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.
We explicitly exclude liability for any failures, errors, or interruptions in third-party services including but not limited to Stripe, Supabase, Vercel, and Resend. You acknowledge that our Services depend on these third-party providers and we cannot be held responsible for their performance or availability.
Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim. Any liability limitations that we cannot legally disclaim are imposed by mandatory Italian consumer protection laws.
9. Changes to Terms
We reserve the right to modify these Terms at any time at our sole discretion. Changes will be effective immediately upon posting on our website. Your continued use of the Services constitutes acceptance of the modified Terms. Notice requirements, where applicable, are as required under Italian consumer protection regulations.
10. Termination
We may terminate or suspend your account and access to the Services immediately, with or without notice, at our sole discretion, for any reason or no reason, including but not limited to breach of these Terms, suspected fraudulent activity, business reasons, or if we determine your use of the Services is harmful to our business interests. Upon termination, all rights and licenses granted to you will immediately cease, and you will have no right to refunds except where mandated under Italian consumer protection laws. Termination does not relieve you of any obligations incurred before termination, including unpaid fees.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Italy. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the Italian courts. Consumer protection rights in other EU member states are as required under EU regulations.
12. Alternative Dispute Resolution
As required under Italian consumer protection law, consumers may submit complaints to the relevant Alternative Dispute Resolution (ADR) entity. You may contact the Italian Communications Authority (AGCOM) or access the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/. For complaints specific to Italian consumer rights, you may also contact the Garante per la protezione dei dati personali at https://www.gpdp.it/.
13. Data Processing
We are the data controller under GDPR for all personal data processing activities. Our processing of your personal data is governed by our Privacy Policy and complies with Italian data protection law (Legislative Decree 196/2003) and the EU General Data Protection Regulation (GDPR). We utilize Supabase for authentication and database services, and Vercel for hosting infrastructure. A complete list of our data subprocessors is available in our Privacy Policy. All data protection measures are implemented as required under Italian and EU law.
14. Force Majeure and Government Action
We shall not be liable for any failure or delay in performance of our obligations under these Terms which is due to government actions, government-mandated shutdowns, sanctions, regulatory restrictions, regulatory changes, legal requirements, acts of God, war, terrorism, pandemic, or any other circumstances beyond our reasonable control. In such cases, we may immediately suspend or terminate Services without liability or refund obligations.
15. Severability
If any provision of these Terms is found to be unenforceable by Italian courts or regulatory authorities, the remaining provisions will remain in full force and effect. Any unenforceable provisions will be deemed modified to the minimum extent necessary to make them enforceable while preserving our intended business protections.
